InCorpe assists entrepreneurs with the sale of (part of) their business. Confidentiality, timing and overview are crucial in this regard. For a long time, communication took place via separate Excel and Word documents sent by email, which made it difficult to keep track of progress, documentation and security as the number of projects grew. To guarantee quality and scalability, InCorpe invested in its own portal that supports the corporate finance process.
InCorpe is an independent corporate finance firm that primarily advises entrepreneurs on the purchase and sale of their businesses and the preparation of business valuations. Key activities include advising entrepreneurs on the sale (or partial sale) of their businesses and advising them on raising capital so that they can realise their buy-and-build strategy. InCorpe guides and advises entrepreneurs through acquisition processes, which consist of multiple phases in which confidential documents are shared with investors and clients. To make this process clear and efficient, Cube has developed the Transact portal, which streamlines and largely automates the documentation process.
Transact is not a standard solution, but a portal built around InCorpe's working methods. The aim was to make complexity manageable and to involve customers more closely in their process. As a result, Transact quickly grew into more than just an internal system. The customer and management portal became a visible and distinctive part of the service provided to customers and investors.
Transact was developed in collaboration with Cube from the very first phase. This close collaboration enabled InCorpe to create a portal that is optimally suited to supporting acquisition processes. Important parts of the process, such as long and short lists, NDAs and information memoranda, are practical, clear and secure via the portal. The customer and management portal thus adds immediate value for both InCorpe employees and customers and investors.

The development of Transact began with a thorough analysis of the existing work process. All steps were mapped out together, from drawing up long and short lists to sharing teasers and signing confidentiality agreements and information memoranda. Much of the work turned out to be manual and email-driven, which made the process time-consuming and error-prone. Visualising these steps with flowcharts provided clarity and revealed where standardisation and automation could actually add value.
Based on these insights, the entire process was digitised and developed into a clear structure. A C4 model was used to define users, roles and functionalities, ensuring that the digital landscape was designed in a logical and scalable manner. During a design sprint, Transact took shape in a clickable prototype, allowing advisors, customers and investors to test the portal at an early stage and provide feedback.
Transact's MVP was realised in several development sprints, built on the Laravel-based Filament admin panel. After a pilot with a concrete acquisition process, the portal was further refined based on practical experience. After approximately six months of development and several months of testing, Transact went live. The portal has now been in use since January 2024 and forms the fixed basis for several acquisition processes.
Transact brings together all steps of the acquisition process in one central environment. Clients, i.e. the companies selling (part of) their business, have live insight into their process and can see exactly where they stand, from the initial documentation to the signed NDA and the information memorandum. They also gain insight into the investors involved in the process. All documents are digitally signed and securely stored, eliminating loose files and confusing email flows. This provides peace of mind, transparency and confidence for customers.

An important part of Transact is the investor database, which contains more than 800 investors with their specific criteria, such as ticket size, sector(s) and minimum EBITDA. The database is continuously updated with new potential investors, ensuring that it grows and always provides up-to-date, valuable data. This enables InCorpe to approach investors in a targeted manner and respond more quickly. The progress per investor is transparent per phase, which makes the selection process clearer and better substantiated.
Transact works with highly confidential business and financial information. That is why strict security standards have been paramount from the initial design phase onwards. Access to the portal is secured with two-factor authentication and role-based authorisation, ensuring that selling parties only have access to information relevant to their role in the process. Documents are stored securely and shared in a controlled manner, which is essential in merger and acquisition processes.
Signing confidentiality agreements is fully automated. Templates are automatically filled in with the correct details, digitally signed via Docusign, and immediately saved and shared. Potential investors go through several steps before an actual acquisition is completed, and within Transact, a seller can see exactly at which step investors have stopped. This speeds up the process, reduces the risk of errors and, at the same time, maintains legal due diligence and security.
By using Transact, InCorpe saves approximately one-third of the time that was previously required for transactions. Processes are clearly structured and contact with investors is more efficient. This creates space to focus on what InCorpe does best: guiding entrepreneurs and successfully completing acquisition processes.

Transact is not a completed project, but a strategic portal that grows alongside InCorpe and its ambitions. The portal is continuously developed and optimised to ensure that it always meets the practical needs of advisors, clients and investors. The collaboration with Cube goes beyond a one-off development; it is a long-term partnership in which knowledge, expertise and feedback come together to continuously improve the portal. This ensures that Transact not only remains up to date and secure, but also a distinctive strength in InCorpe's services.
